Terms and conditions
The following terms and conditions (hereinafter referred to as "Terms") are the Terms which apply when the customer accesses or places an order to purchase any of the products made available to the customer on www.lupo.it (hereinafter referred to as “Website”) owned by Lupo SRL The customer, by using the Website and by placing an order, agrees to be bound by the following Terms. We recommend the customer to keep a copy of these Terms for future reference. The submission of the order form, as provided in article 8 of these Terms ("Insertion and confirms orders"), constitutes for all legal purposes a contract of sale between Lupo SRL and the customer, from which arise the mutual rights and obligations governed by Italian civil law. The current Terms exclude the application of any general conditions of sale belonging to the customer or to third parties and cancel and replace any previous conditions.
Changes of Terms and Conditions
Lupo SRL reserves the right to change and/or modify these Terms at any time. Consequently, the customer is invited to check any change that may occur. If the customer does not agree to any of the Terms then the customer can simply stop using the Website at any time. The e-commerce service is only available for customers who are professionals, that use the Product for their own business, excluding explicitly the direct sale to consumers. Lupo SRL offers products for sale on the Website and conducts e-commerce activities exclusively with persons who have attained the age of 18 (or whatever is the age of majority), are legally competent to accede to and enter into binding contracts.
Content of the Website
All content displayed on the Website (“Content”) is owned by Lupo SRL and is protected by Italian, EU and international copyright, trademark, patent, or other intellectual property laws. Lupo SRL owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on the Website. It’s forbidden to reproduce, transmit, or exploit the content of this Website in any manner.
Use of the Website
Subject to the customer's compliance with these Terms, we grant the customer permission to download, display, view, use, and/or print sections of the Website for the customer’s personal, non-commercial use only. Any other use is strictly forbidden without prior approval of Lupo SRL.
Products that Lupo SRL offers for sale are those listed on the Website on the date on which the customer consults the Website within the limits of the available stock of the suppliers. Availability information is subject to change at any time, without notice and at our sole discretion. We make no representations or warranties about the accuracy or completeness of the information on the Website. There may be information on the Website that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, and availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if any information on the Website is inaccurate. We have made every effort to display product colours as accurately as possible, however, we cannot guarantee the display of any such colour on customer’s personal computer monitor or device will be accurate.
Shipment, delivery and packaging costs are properly indicated at the time of the order. The cost for each shipment will vary depending on the mode of delivery, as well as on shipping’s destination and on the amount of the order. Every price is subject to change at any time, without notice and at our sole discretion.
Placement and confirmation of the order
The payment of your purchases on the Lupo e-commerce Website is totally secure.
Debit and Credit cards – After that the customer creates an order, the customer is redirected to a secure payment bank gateway (Braintree payment), where the customer will enter the necessary payment data. This method of payment of the purchase price is considered an advance payment. We would also like to inform the customer that our employees do not have access to the data of the customer’s card. All is exclusively in the hands of the bank.
PayPal - after the customer creates an order, the customer is redirected to a secure PayPal gateway, where the customer logs in to customer’s PayPal account to complete the purchase. We would like to inform the customer that Lupo SRL does not have access to customer’s PayPal account, or any other information related to customer’s PayPal account. In order to protect the customer and Lupo SRL from fraud, we only ship items to confirmed PayPal addresses linked with the customer’s PayPal account. If the customer is not sure if its address is confirmed, the customer is invited to visit the PayPal link provided and follow the steps to verify if its address is confirmed. If we do not receive payment from the customer’s credit issuer or its agents, the customer agrees to submit the payment to us in full. The customer shall be responsible for any costs of collection for overdue payments.
The customer will receive through e-mail communication, the digital invoice, which can be downloaded at any time. The digital invoice is also accessible from the section from customer’s client or can be asked writing to firstname.lastname@example.org
Shipment and delivery
Shipment times vary for each product depending on stock availability. Shipping of the purchased Products will generally be made within 2-5 days from the moment of payment confirmation. The delivery terms mentioned in the order confirmation are estimates only and are not binding, because they may be subject to delays for reasons, not due to Lupo SRL, but depending on a number of factors, including but not limited to, weather conditions, international customs procedures, local couriers and delivery companies, and incorrect address information. With the acceptance of the order confirmation the customer renounces explicitly any kind of claim towards Lupo SRL because of delivery terms indicated in the order confirmation but not met. The customer therefore foregoes the right to withdraw from part of or from the entire sales agreement, to make any claims for damages or to interrupt the payment because of the delivery delay of the purchased product. In the event that an item is out of stock or for any other reason is not suited to be shipped, we will notify you in time. We will keep the order open unless told to cancel it. When the item is in stock, we will ship it out immediately. Shipment will be sent to the address indicated at the time of registration or purchase by the Buyer, who is obliged to indicate a valid address.
You have the right to cancel your order and return a product for any reason at any time within 14 days calendar days after the date on which the product is received. In order to exercise your right, you need to provide us with a clear expression of your intent to return a product or cancel an order by sending e-mails to email@example.com or by using the form in the Contact page of our Website. Once you notify us of your intent to cancel, please return the product with the original receipt and original packaging to us within 14 days. Once we pick up the product or, in the event you are delivering the product to the carrier, we receive the product or proof that it has been shipped, we’ll provide you with a refund based on the original payment method. If the product is damaged, we may offset the amount of your refund by the diminished value of the product. Refunds will be returned using the same method that was used to make the payment. The time for refund process depends on the bank or credit card issuer. Shipping costs will be paid by the Customer. For any problem during the warranty period of 12 months from the date of purchase, you can contact our customer service at the e-mail address firstname.lastname@example.org and you will quickly be given information on how to solve the problem. In the event that the product needs to be repaired or replaced during the warranty period the assistance will be carried out directly by us.

Limitation of Liability
In no case Lupo SRL will be held responsible for any direct or indirect damage caused by a wrongful use of the products. Neither Lupo SRL nor any of its directors, employees or other representatives will be liable for damages arising out of or in connection with the use of this Website. Lupo SRL does not accept liability for any errors or omissions and reserves the right to change information, specifications and descriptions of listed goods, products and services. Lupo SRL does not accept liability for any indirect loss, consequential loss, loss of data, loss of income or profit, loss of or damage to property and/or loss from claims of third parties arising out of the use of Lupo SRL website or for any products purchased from the Website. Lupo SRL will only be liable for direct loss up to a maximum total of the price of the product purchased in respect of any claim.
Neither Party shall be liable for the total or partial non-performance or delay in performance of its obligations under this contract that is caused by an event that cannot be prevented (Force Majeure). The force majeure event may include: wars, riots, insurrections, serious disorder in securing the Internet, technical failures, unauthorized access and/or intrusion on the website, strikes of any kind, telematics or telephonic faults. The abovementioned list is given merely as an example.
Protection of confidentiality and data processing
Applicable law and dispute resolution
These Terms and conditions and all contractual relationship between Lupo SRL and the customer shall be governed by Italian law. Any dispute arising from this Terms shall be subject to binding arbitration (“rituale”) under the Rules of the Piedmont Court of Arbitration. Arbitration shall adopt the ordinary procedure by law or the fast-track (ex aequo et bono) arbitration depending on the value in dispute, as provided for in these Rules.
If any provision of these Terms shall be held to be invalid, illegal or unenforceable, or had been found as such by law, regulation or Court, all remaining provisions shall remain fully valid. Everything not mentioned in this document is ruled by the laws of the Italian Civil Code and the special regulations applicable to this subject.
